Please read these Terms of Service ("Terms") carefully before using the Never Be Late A.I. mobile application ("App") operated by Never Be Late A.I. ("we," "our," or "us"). By downloading, installing, or using the App, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the App, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the App.

2. Description of Service

Never Be Late A.I. is a smart alarm application that uses artificial intelligence to calculate optimal wake-up times based on real-time traffic conditions, weather forecasts, and your personal commute patterns. The App requires location access and an internet connection to function properly.

3. Eligibility

You must be at least 13 years old to use the App. If you are under 18, you represent that you have your parent's or legal guardian's permission to use the App. By using the App, you represent and warrant that you meet these eligibility requirements.

4. Account & Sign-In

The App offers optional sign-in via Sign in with Apple. You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Subscriptions & Payments

Free Features: The App provides basic alarm functionality at no charge.

Premium Subscription: AI-powered features, including intelligent wake time adjustments, pattern learning, weather-aware calculations, and AI explanations, require a Premium subscription.

Pricing:

Billing: Payment is charged to your Apple ID account at confirmation of purchase. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the same price.

Managing Subscriptions: You can manage or cancel your subscription at any time through your Apple ID account settings or the App's settings menu. Cancellation takes effect at the end of the current billing period.

Free Trials: If offered, any unused portion of a free trial period will be forfeited when you purchase a subscription.

Refunds: All purchases are processed by Apple. Refund requests must be directed to Apple in accordance with their refund policies.

The App, including its design, features, code, content, and AI algorithms, is the exclusive property of Never Be Late A.I. and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes in accordance with these Terms.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We do not warrant that:

The App is intended as an aid and should not be relied upon as your sole method of waking up for critical appointments. We recommend setting a backup alarm for important events.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEVER BE LATE A.I. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

We are not responsible for any damages or losses resulting from missed alarms, inaccurate travel time calculations, late arrivals, or any decisions made based on the App's recommendations.

10. Indemnification

You agree to indemnify and hold harmless Never Be Late A.I., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the App or violation of these Terms.

11. Third-Party Services

The App integrates with third-party services including Apple Maps, Amazon Web Services, and Apple StoreKit. Your use of these services is subject to their respective terms and conditions. We are not responsible for the availability, accuracy, or reliability of third-party services.

12. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the App (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the App.

13. Changes to Terms

We may revise these Terms at any time by posting the updated Terms in the App or on our website. Your continued use of the App after any changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.

14. Termination

We may terminate or suspend your access to the App immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the App will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of California, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the App shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Never Be Late A.I. regarding the use of the App and supersede any prior agreements.
